§ PARTNER TERMS
Founding partner terms.
The agreement between Smash Daddys Ltd and the founding-partner organisation. Twelve months from payment, permanent founding designation, the mutual commitment letter sits underneath everything.

§ 01 · WHO WE ARE
HOTMESS London is operated by Smash Daddys Ltd, a company registered in England. "HOTMESS," "we," or "us" means Smash Daddys Ltd. "You" or "your" means the partner organisation entering this agreement (venue, promoter, retailer, wellness business, or other entity making the founding-partner payment).
§ 02 · FOUNDING PARTNERSHIP
This agreement starts on the date of your founding-partner payment and runs for 12 months (the "Founding Year"). At the end of the Founding Year, partnership continues at then-current rates, which we will notify you of at least 30 days before renewal. You can decline renewal and the partnership ends cleanly. Your founding designation and badge survive.
§ 03 · MUTUAL COMMITMENT LETTER
Every paid founding partner accepts the mutual commitment letter (v1) at Stripe checkout. Acceptance is recorded as Stripe metadata commitment_letter_v1_accepted: true on the payment intent — durable next to the receipt. The letter has ten clauses; the full text is rendered in the checkout modal and reproduced in the partner offer PDF.
- The partner is named on HOTMESS surfaces only with their explicit consent.
- HOTMESS does not aggregate, sell, or licence partner data to third parties.
- The partner may withdraw at any time with 7 days written notice.
- The partner's premises (where applicable) are added to the Pulse globe only after the partner has reviewed the geographic representation.
- The Tap-Pack hardware remains the partner's to use; HOTMESS does not remote-disable it short of a serious safety breach.
- The Founding Anchor postcode-exclusivity commitment is honoured for the founding year.
- The Licensing Letter on HOTMESS letterhead is for the partner's licensing-review use; HOTMESS does not register it as a regulatory filing.
- The partner agrees not to misrepresent the HOTMESS relationship (no "official partner of X" claims beyond what's been signed).
- Disputes are resolved first by direct conversation; escalation to a mutually-named third party only after good-faith conversation fails.
- Either party may renegotiate the relationship at the end of the founding year; the founding badge + permanent status survive renegotiation.
§ 04 · TIERS AND PRICING
Six paid founding-partner tiers plus one free Recovery Partner tier. Prices are inclusive of all founding-year benefits described in the partner offer PDF and on the /partners section of the homepage.

§ 05 · PAYMENT, VAT, AND REFUNDS
- Payment is via Stripe Checkout. GBP. Card or invoice (invoice route on request).
- Smash Daddys Ltd is currently below the UK VAT threshold. Invoices reflect this. If we register, future invoices include VAT and partners are notified at least 30 days in advance.
- 14-day full refund from the date of payment, as long as your Welcome Portal has not been activated.
- After Welcome Portal activation, refunds are at our discretion. We will always be reasonable; refusals are explained in writing.
- Disputes are resolved per § 03 clause 9.
§ 06 · WHAT WE DELIVER
- Pulse-globe pin at your covered site(s), live within 48 hours of funds clearing.
- Beacon allocation per tier, refilled quarterly. Beacons ship within 10 working days of Welcome Portal activation.
- Tap-Pack hardware shipped within 5–14 working days depending on tier.
- Licensing Letter on HOTMESS letterhead, emailed within 7 working days of Welcome Portal activation.
- Welcome Portal access within 24 hours of payment clearing.
- Quarterly transparency report on data processing — vendors, retention, deletions.
- Your founding designation is recognised as permanent.
§ 07 · WHAT YOU DELIVER
- Accurate organisational details at signup and through Stripe Checkout.
- Acceptance of the mutual commitment letter at checkout.
- Reasonable cooperation on Pulse-pin geography review, Tap-Pack placement, and Licensing-Letter customisation (Anchor tier).
- Honouring the no-misrepresentation clause (§ 03 clause 8) in your own marketing.
§ 08 · DATA AND CONFIDENTIALITY
We process partner data per the Privacy Policy. Aggregated, anonymised footfall reports may be shared with you as part of your partner package; raw partner data is never aggregated to outsiders and never sold or licensed to third parties (mutual commitment letter clause 2).
Confidential information shared in our direct conversations or monthly calls (Anchor tier) is treated as confidential by both sides unless explicit written consent is given to disclose.
§ 09 · LIABILITY
Neither party limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law. Subject to that, each party's total liability under this agreement is capped at the founding-year fee paid by the partner. We do not accept liability for indirect or consequential losses, including loss of profits or reputational harm beyond the cap.
§ 10 · TERMINATION
- Partner withdrawal: 7 days written notice per the commitment letter (§ 03 clause 3).
- HOTMESS withdrawal: material breach of these terms or the commitment letter, after written notice and a reasonable cure period (14 days).
- On termination, your Pulse pin is removed, Tap-Pack remains your property to keep or return at your option, and the Licensing Letter remains valid for the period it documents (we don't retroactively invalidate it).
- Founding badge survives termination if termination is by partner withdrawal in good standing.
§ 11 · CHANGES TO THESE TERMS
Material changes during the Founding Year are notified in writing and require partner consent. Cosmetic changes (typo fixes, link updates) are made in place; the version + updated date at the top reflect the current state.
§ 12 · JURISDICTION
Governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, subject to the dispute-resolution sequence in § 03 clause 9 (direct conversation first; mutually-named third party second; courts last).
